Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the SAAS — Semi Automatic Agentic Solutions platform (the "Service"), including its website, application, APIs, and the marketplace of AI micro-agent modules made available through it. By creating an account, accessing, or using the Service, you agree to be bound by these Terms on behalf of yourself and, where applicable, the company or organization you represent. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By registering for an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have the authority to bind yourself (and, if applicable, your company) to these Terms, and that you are at least 18 years old or the age of legal majority in your jurisdiction. These Terms form a binding agreement between you and us.

2. Description of Service

The Service is a modular platform that provides access to a marketplace of focused, guided AI-assisted workflows ("modules"). Modules may be provided directly by us or by third-party suppliers through the marketplace. We may add, modify, or remove modules and features at any time, and functionality may vary between plans.

3. Accounts and Registration

You must provide accurate, current, and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account. We support single sign-on (SSO) through supported identity providers where configured by your company administrator.

4. Companies, Roles and Multi-User Access

Accounts are organized under a company workspace. A company administrator may invite additional users, assign roles and permissions, and manage which modules are available to members of that company. Your company administrator is responsible for managing user access within your organization, including revoking access when a user leaves. We are not responsible for disputes between a company and its users regarding access or permissions.

5. The Marketplace and Third-Party Modules

Some modules are supplied by third-party suppliers rather than by us directly. Third-party modules are clearly identified by their listed author. We do not control, and are not responsible for, the content, functionality, availability, or support of third-party modules beyond making them available through the Service. Your use of a third-party module may be subject to additional terms presented by that supplier. Suppliers are responsible for the accuracy of their own module listings, pricing, and descriptions.

6. Subscriptions, Credits and Billing

Certain modules are free; others require a one-time purchase, a recurring subscription, a bundle of usage credits, or are billed on a pay-as-you-go basis according to metered usage. Prices are shown in your company's configured currency and may include applicable taxes (such as VAT) at checkout. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. Pay-as-you-go usage is billed in arrears at the end of the billing period; continued unpaid usage may result in access being suspended until payment is resolved. All payments are processed by our payment provider (Stripe); we do not store your full card details. Fees are non-refundable except where required by law or expressly stated otherwise.

7. Free Trials and Free Modules

We may offer free modules or trial access to paid modules at our discretion. Free or trial access may be limited in scope, duration, or usage volume, and may be withdrawn or modified at any time without notice.

8. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law or regulation; (b) attempt to gain unauthorized access to the Service, other accounts, or underlying systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or attempt to extract the source code of the Service except where permitted by law; (e) use the Service to transmit malware, spam, or unlawful content; or (f) resell or sublicense access to the Service without our prior written consent, except through the supplier/marketplace mechanisms we provide.

9. Your Content and Data

You retain ownership of the data, files, and content you upload or submit to the Service ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely as necessary to provide the Service to you. You are responsible for ensuring you have the necessary rights to upload Your Content and that it does not infringe the rights of any third party. We record certain usage metrics against your account and company — including data sent and received, AI token usage, and credit consumption — for billing, support, and service-improvement purposes, as described in our cookie notice.

10. AI-Generated Content and Limitations

Modules may use artificial intelligence, including large language models, to generate suggestions, drafts, summaries, or other output ("AI Output"). AI Output is provided for assistance only and may be inaccurate, incomplete, or unsuitable for your specific purpose. You are responsible for reviewing and verifying AI Output before relying on it, particularly for decisions with legal, financial, safety, or regulatory consequences. We do not guarantee the accuracy, completeness, or fitness for purpose of any AI Output.

11. Intellectual Property

The Service, including its underlying software, design, and platform-provided modules, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, no other rights are granted. Third-party modules remain the intellectual property of their respective suppliers.

12. Privacy and Cookies

Our use of cookies, including essential cookies required to operate the Service, is described in the cookie notice shown on your first visit. By continuing to use the Service you consent to the use of essential cookies as described there. We handle personal data in accordance with applicable data protection law, including the UK/EU General Data Protection Regulation where applicable.

13. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if required by law, or if we discontinue the Service or a module. You may stop using the Service and, subject to your company administrator's controls, request deletion of your account at any time. Provisions of these Terms that by their nature should survive termination (including billing for usage already incurred, intellectual property, and limitation of liability) will survive.

14. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your breach of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. When we do, a new version is published and takes effect from its publication date; the full history of previous versions remains available for reference. Continued use of the Service after a new version is published constitutes acceptance of the updated Terms. Where changes are material, we will make reasonable efforts to notify account administrators.

17. Governing Law

These Terms are governed by the laws of [Jurisdiction to be confirmed], without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of that jurisdiction, except where mandatory consumer protection law provides otherwise.
